Ordinance No. 2023-77 on the practice in corporate form of Regulated Liberal Professions

The ordinance on the practice in corporate form of Regulated Liberal Professions has finally been published.

In summary, it does not upend existing law but consolidates the rules within a single instrument (apart from the arrangements provided for by specific texts, which remain in force), extends the content of the disclosure obligation to the competent professional bodies in order to facilitate oversight of compliance with professional independence (the latter being defined only by implication: “to carry out independently the acts of one's profession”) and divides the Regulated Liberal Professions into three families (Health, Law and Technical Professions and of the Living Environment).

The most interesting aspect lies no doubt in the “technical” amendments which broaden the possibilities offered to joint ventures (open to natural or legal persons), to SPFPLs (financial holding companies for liberal professions, which may take part in all forms of practice companies, no longer only SELs) and to interprofessional companies.
